Agreements That Protect You Where It Matters

A contract that works in the Netherlands may be unenforceable in China. Different legal systems, different languages, and different business customs mean that standard European purchase agreements often fail to protect you where it counts, at the factory.

M-Asia structures supplier agreements specifically for Chinese commercial law. Our contracts are bilingual (English and Chinese), reference Chinese jurisdiction, and include enforceable clauses for IP protection, pricing locks, quality standards, and delivery penalties.

We do not use generic templates. Each contract is tailored to your product, supplier, and commercial situation. This gives you a legal foundation that supports long-term supplier relationships, not just the current order.

Challenges

Common Contract Questions

Yes, if they are structured correctly. A contract written in English only, referencing Dutch jurisdiction, has little practical enforceability in China. Our contracts are bilingual, reference Chinese jurisdiction, and follow the contract structures that Chinese courts recognise. This is the critical difference.

We recommend it. Before any detailed product information is shared with a factory, we issue an NDA that the factory signs. This is a standard step in our process and protects your design and specifications from being shared or copied.

Contracts

Contracts built for Chinese reality, not just European theory

Most European businesses approach Chinese contracts the way they would approach a Dutch or German agreement, in English, under EU jurisdiction, with assumptions about enforcement that do not hold across borders. The result is a document that looks professional but offers little practical protection where it matters: inside China.

Our contracts are different. They are bilingual, referencing Chinese jurisdiction, and structured in the format Chinese courts and arbitration bodies recognise. We address the specific risks that international buyers face: IP leakage, undisclosed subcontracting, unilateral price changes, and delivery default.

More importantly, we design contracts to prevent disputes, not just win them. Clear specifications, agreed penalties, and transparent milestone terms reduce ambiguity, which is where most supplier conflicts begin.

  • Dispute prevention through clear terms and milestones
  • IP protection structured for Chinese commercial law

Frequently asked questions

We answer common questions on MOQs, lead times, and compliance. Know what to expect before we start.

We serve three core sectors — leisure, retail, and toys — but our sourcing process is product-agnostic. The same structured approach works across categories. If your product is manufactured in China, we can support you.

Yes. We can audit your existing supplier, benchmark pricing against alternatives, improve communication, and add quality control inspections. Many clients start with purchasing guidance to optimise their current setup before expanding.

We work with transparent service fees, not hidden commissions. You see the factory price, our service cost, and logistics expenses separately. This way you can plan your margins accurately and compare costs year over year.

Lead times depend on product complexity. A simple product can move from brief to first shipment in 8–12 weeks. Complex products with custom tooling or certifications may take 16–20 weeks. We provide a realistic timeline during the sourcing intake.
